Cleanavo Cleaner Terms and Independent Contractor Agreement

For cleaners who use the Cleanavo Cleaner app. Hosts are subject to a separate agreement.

Effective date: 23 September 2026
Last updated: 4 November 2026

1. Agreement

This agreement is between you and Finavo LLC, doing business as Cleanavo ("Cleanavo," "we," "us," "our"), a Texas limited liability company.

By creating a cleaner account or claiming a job, you agree to this agreement, the Privacy Policy, the Community Guidelines and Acceptable Use Policy and the Account & Data Deletion Policy.

2. Eligibility

To use the Service as a cleaner, you must:

  1. (a)be at least 18 years old, and confirm this at sign-up. We record your confirmation and its date, and our systems enforce the requirement: an account without the confirmation cannot hold a cleaner role. We do not collect your date of birth. We ask you to confirm that you are an adult, and we rely on your confirmation. Providing a false confirmation is a breach of this agreement and grounds for immediate removal. The app also checks with your app store: where the store holds an age category for the account on your phone and makes it available, the app reads it each time it opens, and if the store indicates that the account belongs to someone under 18, the app will not open. The app keeps nothing from the store's response, and we are never told what it was (Privacy Policy Section 9). The identity check in Section 14 is an age check too: Stripe will not verify anyone under the age of majority, and a failed check on that basis will end the application;
  2. (b)be legally authorized to work in the United States as an independent contractor;
  3. (c)be able to enter into a binding contract; and
  4. (d)have a Stripe Connect account in good standing in order to receive payment.

A person reviews each application before an account is activated. We may decline an application, or end an agreement, at our discretion, subject to Section 12.

We verify your identity with Stripe before you can see or take work, and we do not run background checks. Section 14 says exactly what we check and what we do not. You should know, because hosts are told the same thing.

3. Independent contractor status

3.1 Relationship

You are an independent contractor. You are not an employee, agent, partner, joint venturer or franchisee of Cleanavo, and nothing in this agreement creates any of those relationships. You are in business for yourself, and you provide your cleaning services to Cleanavo. Cleanavo contracts with the host, charges the host and engages you to perform work that Cleanavo has agreed to provide, in the same way that a general contractor engages a subcontractor. You do not contract with, invoice or receive payment from the host. Cleanavo pays you, in full, for every job you complete.

3.2 What you control

You control:

  1. (a)Whether to work. There is no schedule, shift, minimum, availability window or requirement to be online. Completing no jobs in a month is not a breach of this agreement.
  2. (b)Which jobs you accept. No one assigns you work. Open jobs are visible to every eligible cleaner and are claimed on a first-come, first-served basis. You may decline any job by not claiming it, and declining has no consequences.
  3. (c)When and how you work during the visit. We do not supervise you, we are not present, and no Cleanavo representative directs your work.
  4. (d)Your equipment and supplies, which you purchase, own and maintain.
  5. (e)Whether to work elsewhere. This agreement is non-exclusive. You may work for competing platforms, take private clients or operate any other business at the same time.
  6. (f)Whether to release a job. You may release a job before it starts.
  7. (g)Your rate. Cleanavo publishes a base rate, currently $54 for a cleaning of up to three rooms (bedrooms plus bathrooms) plus $18 for each room above three. You set a standing rate of 1.00 to 1.40 times the base rate, you may change it at any time, and every open job is priced at your rate. Your rate is not negotiated with or approved by anyone.
  8. (h)Your methods. The checklist describes the required result; the methods are yours (see Section 6).

3.3 What Cleanavo controls

Before agreeing, you should understand that Cleanavo controls:

  1. (a)The base rate and the maximum rate. We set the published base rate and the 1.40 times maximum. Your position within that range is your decision, and we will never tell you what other cleaners charge, suggest a rate or show you an average rate.
  2. (b)The fixing of the price when you claim a job. A job's price is fixed when you claim it. Changing your rate afterwards does not change the price of a job you have already claimed.
  3. (c)The scope of each job. The checklist states which rooms a job covers and the condition they must be in when you leave. It does not state how you achieve that result. See Section 6.
  4. (d)The job pool. We control which cleanings are published and when. You see every open job in the cleaning area you choose (Section 4), and no job is filtered, ranked or withheld on the basis of any other information about you (see Section 7).
  5. (e)The job record. Each job records check-in, before and after photographs and check-out. These record that the job took place and the condition of the home. They are not instructions on how to clean (see Section 6).
  6. (f)Whether your account remains active, subject to Section 12.

3.4 Host maximum prices

Each host sets a maximum price for their property. If your rate is higher than a host's maximum, the job is still shown to you and you may still accept it, but it pays the host's maximum rather than your rate. No job is hidden, filtered or refused on this basis. The app shows you both amounts before you claim the job and asks you to confirm. A higher rate may therefore reduce the number of jobs that pay your full rate. This is a business risk that results from the rate you choose, and it is the counterpart of your ability to charge more.

3.5 Consequences of independent contractor status

Because you are an independent contractor:

  1. (a)Cleanavo does not withhold taxes. We do not withhold federal or state income tax, FICA or unemployment insurance. You are responsible for all taxes on your earnings, including self-employment tax, and for making your own estimated tax payments.
  2. (b)You receive no employee benefits, including health insurance, paid leave, sick pay, retirement contributions or workers' compensation coverage from Cleanavo.
  3. (c)You are not covered by Cleanavo's insurance. See Section 10.
  4. (d)Wage and hour laws that apply to employees, such as minimum wage and overtime requirements, do not apply to this relationship, because it is not employment.

3.6 Tax reporting

We report your earnings to the IRS on Form 1099-NEC, and send you a copy, if your earnings for the calendar year reach the reporting threshold: $2,000 for 2026, adjusted for inflation in later years.

You must report all of your earnings, whether or not you receive a Form 1099-NEC. The threshold determines when we must file a form; it does not determine whether you must report the income. For example, if you earn less than $2,000 from Cleanavo in 2026, we will not issue a Form 1099-NEC, but those earnings are still taxable and you must report them.

To be paid, you must provide the tax information required by Form W-9: your legal name, address and taxpayer identification number. You provide this information to Stripe, on Stripe's own pages, when you set up your payout account. Cleanavo never sees your Social Security number or other taxpayer identification number. You are responsible for keeping that information accurate and current in your Stripe account, and we cannot pay you until it is complete.

Both parts of the tax process take place within Stripe: your W-9 information is collected when you set up your payout account, and any Form 1099-NEC that is required is generated and delivered from the same account.

4. How work is offered and claimed

Open jobs appear in the app with the city and state, the room count, the work required, the date and time, and the pay, but not the host's name or street address.

Jobs are claimed on a first-come, first-served basis. There is no ranking, queue or allocation system.

You choose your cleaning area: the city you work in, which you pick when you sign up and can change in the app at any time. You are shown the open jobs at properties in that city, and no others. Changing it never affects a job you have already claimed. If you choose a city where Cleanavo does not yet operate, the app tells you so, and there will be no jobs to show you there until we do.

Declining is always free. Specifically, we commit that:

  1. (a)No work is ever assigned to you. Every job you perform is one you chose to claim. We do not send you work, and there is no time limit on any decision.
  2. (b)There is no minimum acceptance rate, and no acceptance rate is calculated. There is no target, quota or minimum you must meet to keep your account.
  3. (c)Declining work does not affect the jobs you are shown. Open jobs are listed by date and time for every cleaner, within the cleaning area each cleaner chooses (see above). There is no ranking, boosting, throttling or hidden filtering, whether based on the jobs you have declined, your rating or anything else.
  4. (d)Declining work does not affect what you are paid for any job, and it is not recorded against you. The referral fee in Section 5.7 is the only payment on the Service that is subject to a condition, and that condition relates to the referral (whether the person you referred completed cleanings), never to any of your own jobs. It is not a target, quota or minimum for anyone.

Your completion rate (Section 9) measures only jobs you claimed and did not complete. A job you did not claim is not included in the calculation.

If a job starts within 5 hours of another job you have, the app shows you that job before you claim the new one, and asks you to confirm. It does not stop you. Whether you can do both is your decision, and you may arrange cover for either (Section 6.1) or release one before it starts. Your answer is not recorded, it is not shown to the host, and it does not affect anything else in this agreement.

Once you claim a job, it is yours. You can then see the host's first name and the street address, and, at check-in, the entry instructions and door code.

5. Payment

5.1 Your fee

You receive the full cleaning fee for every job you complete.

The fee is your own rate applied to Cleanavo's published base rate (currently $54 for up to three rooms plus $18 for each room above three) or the host's maximum price for that property, whichever is lower (Section 3.4). It is fixed when you claim the job, it is shown to you before you claim it, and it does not change afterwards.

Cleanavo's 10% service fee is charged to the host in addition to your fee. It is never deducted from your pay.

An account Cleanavo has marked as one of its own team's is not paid under this Section for a cleaning it claims while marked: Cleanavo keeps the cleaning fee, and no compensation is paid under Section 5.3. A tip still goes to that account (Section 5.6). The mark is set by Cleanavo, never by a cleaner, and applies only to cleanings claimed while it is in place.

5.2 Payment timing

Your pay for a job is sent to your Stripe Connect balance shortly after you complete it, whether or not the host's card is charged successfully, and it stays in that balance, which is yours, until you choose to pay it out to your bank account or debit card with Payout in the app. You may pay out as often as you like. There are two ways to do so:

When it arrivesWhat it costs
StandardTypically 1–2 business days. Your pay can be paid out by Standard as soon as it reaches your balanceFree
InstantTypically within 30 minutes, 24 hours a day including weekends and holidays, to a debit card or a bank account that supports it1.5% of the amount paid out, with a minimum of $0.50, deducted from the payout

Instant payouts are available once you have completed 3 cleanings and 7 days have passed since your account was approved (a cleaning whose pay is being checked, or was not paid, under the payment check below does not count), and only to a payout method that supports them. Payouts may be delayed depending on your bank. The Instant fee is the only charge Cleanavo makes on your pay, it applies only when you choose Instant, and it is shown to you before you confirm.

Money is paid out without your asking in two cases only, and always by Standard payout, free: money that has been in your balance for 90 days, and your whole balance once you stop cleaning with Cleanavo (Section 12).

Your pay is not held, with one exception, described below. Cleanavo does not apply any waiting period before your pay reaches your balance, whether for a quality claim, a review period or any other reason. A host has 24 hours after a cleaning to raise a quality claim (Cancellation & Refund Policy Section 9), and that period does not affect your payment: it neither delays nor reduces it.

The exception is a payment check, which applies only when a completed job's own record shows it could not have been performed as recorded. That is the case when, by our server's clock:

  1. (a)the time between your check-in and your check-out is less than 30 minutes; or
  2. (b)the visit overlaps, by more than 10 minutes, another job you were checked in to at the same time.

The pay for that job, and any tip on it, is then not sent until a person at Cleanavo has looked at the job's record and photographs, for up to 7 days after you check out. If nobody has decided by then, it is sent automatically. If the person finds that the job was not performed as recorded, it is not paid, any tip on it is refunded to the host, we email you the reason, and you may appeal under Community Guidelines Section 13. The app shows you any job whose pay is being checked and the date by which it will be sent.

A payment check is about whether a job was performed, and nothing else. It is never started by how many jobs you take or how close together they are, by your location, by a host's complaint or by your rating. While a job is being checked it still counts as completed, so the check does not affect your completion rate, rating or the jobs you are shown. It is not a breach of this agreement, it is not recorded against you, and the host is never told about it. A job the person finds was not performed is not counted as a completed job, for your completion rate, for Instant payouts or for referrals (Section 5.7).

If a host raises a quality claim, a person at Cleanavo reviews it against the checklist, the step timestamps and your before and after photographs, which is why it is important to take those photographs carefully. Whatever the outcome, you are paid in full for the work you performed. If the claim is rejected, no further action is taken. If it is upheld, we resolve it for the host, usually by arranging a re-clean and sometimes by refunding part of the host's payment, and Cleanavo bears that cost, not you.

Cleanavo does not deduct or withhold any amount from your pay for work you performed, including for a quality claim, a refund we choose to give a host or a re-clean we arrange. Your pay for a completed job is the fee for that job, and it is sent to your balance shortly after you complete it. The only amount that ever comes off it is the Instant payout fee, and only when you choose an Instant payout.

A referral fee (Section 5.7) is not a payout for a job. It is paid from Cleanavo's own funds, by a separate transfer to your balance, shortly after the referral qualifies. It is never deducted from, held against or combined with the pay for any job.

The consequences of an upheld claim are described in Section 9: it is recorded as a material breach of this agreement in respect of that job, repeated breaches are reviewed by a person, and we may end this agreement. That is a contractual consequence, decided by a person and open to challenge. It does not reduce the amount you are owed for work you performed.

5.3 Compensation when a host cancels

If a host cancels a job you have claimed, you are compensated only if the notice is short:

When the host cancelsYou receive
Within 24 hours of the start$25
More than 24 hours before the startNothing

A host may cancel a claimed job more than 24 hours before its start without paying a fee, and no compensation is paid to you for that cancellation.

5.4 Failed host payments

Once you have completed a job, you are paid for it regardless of what happens to the host's payment. There are two situations, and in neither of them do you lose the value of the job.

A job is "completed" when you finish it in the app, including taking the after photographs and checking out at the property, as described in Section 6. A job you start but do not finish is not a completed job and is not paid, and if it remains unfinished for long enough, it is withdrawn so that the host is not left waiting.

If the payment fails before the cleaning (for example, the card is invalid or has expired when we place the hold approximately 24 hours before the cleaning), the cleaning is canceled and you are compensated under Section 5.3 for the short notice. You are never sent to a job whose payment has not been confirmed: a cleaning appears in the job pool, and can be claimed and started, only after the payment for it has been reserved.

If the payment fails after you have completed the work, because the card issuer later declines a hold, which is uncommon, you are still paid in full on the normal schedule. The amount becomes a debt the host owes Cleanavo, which we will pursue, but that is a matter between Cleanavo and the host and does not affect your payout. If we do not recover the amount, Cleanavo bears the loss.

Your pay does not depend on whether the host's payment succeeds. Together with Section 5.2 (no deduction or delay for a quality claim), this means that once the work is completed, the payment is yours, subject only to the time required to send it and, where it applies, to the payment check in Section 5.2.

5.5 Payment for cover

If you accept a job as cover for another cleaner (Section 6.1), Cleanavo pays you directly and in full for that job. The cleaner who asked you to cover the job is not paid for it, does not pay you and receives no share of it. The Service does not allow cleaners to set fees between themselves, and we do not process payments between cleaners.

The job pays the price at which it was booked, which is the rate fixed when it was first claimed (Section 5.1) and may be higher or lower than your own rate. The amount is shown to you before you accept the job, together with your own rate if the two differ, and accepting it is your decision. Declining it has no consequences (Section 4).

Any arrangement you make with another cleaner outside the Service is a matter between the two of you.

5.6 Tips

Hosts may tip you, and you receive the full amount of every tip:

  1. (a)Cleanavo takes no part of a tip. No service fee or sales tax is charged on it.
  2. (b)A tip is never used to pay any part of your cleaning fee. Your fee under Section 5.1 is the same whether or not a job is tipped, and a tipped job pays your full fee plus the tip.
  3. (c)The host chooses the amount. Cleanavo does not set the amount, preselect a default or require a tip. A host may choose not to tip.

A host may tip at either or both of the following times, and if the host tips at both, you receive both tips:

When the tip is addedHow it works
Before the jobThe host adds a tip while the job is unclaimed. You see the tip in the list of available jobs before you decide whether to accept the job, and it is charged together with the cleaning. If the cleaning does not take place, the tip is not charged and is not owed to you.
After the jobThe host adds a tip after the work is completed, for up to 14 days afterwards.

A tip that was shown when you claimed a job cannot then be reduced. After you claim the job, the host may increase the tip but may not reduce or remove it. If you release the job before it starts, the tip returns to the job pool with the job and the host may change it again.

Tips are sent to your Stripe Connect balance as their own amount, separately from the pay for the job itself, and are paid out with the rest of your balance when you choose (Section 5.2). A quality claim under Section 5.2 does not reduce a tip, because a claim concerns the price of the work, and a tip is not part of that price.

5.7 Referral fees

Cleanavo pays a referral fee when a cleaner you refer becomes an active contractor on the Service, on the following terms:

  1. (a)Qualifying referrals. A qualified referral is a person who (i) has never had a Cleanavo account, (ii) enters your referral code on the sign-up screen when creating their account in the cleaner app, (iii) is approved to clean, and (iv) completes twenty cleanings and has been a verified cleaner for 30 days, both within 12 months of creating their account. A completed cleaning is one finished in the app as described in Section 5.4, for which the host's 24-hour claim period has passed with no claim upheld; a re-clean does not count, and neither does a cleaning at a property that belongs to them or to you, or a cleaning whose pay is being checked under Section 5.2 (it counts once it is paid) or was not paid. A verified cleaner is one who has been approved and has completed the identity check in Section 14; the 30 days run from the later of the two.
  2. (b)Amount. The referral fee for a qualified referral is $100, paid as $50 to you and $50 to the cleaner you referred, by a separate transfer to each of your Stripe Connect balances, shortly after the referral qualifies. It appears in the app as a separate line item labeled as a referral fee.
  3. (c)Nature of the fee. A referral fee is a flat payment for a single completed transaction: the referral. It is not payment for any cleaning. Every job you complete is still paid in full at your own rate under Section 5.1, and the fee does not depend on when, where or how any cleaning is performed, but only on whether the person you referred completed the required cleanings. Nothing in this Section 5.7 requires you, or anyone you refer, to accept or complete any job. Declining work remains free (Section 4), and a referral that does not qualify simply expires, with no effect on either of you.
  4. (d)Limits. Each person may be referred only once. You may be paid for up to ten qualified referrals in a calendar year; the cleaner you referred still receives their share if you have exceeded that limit. A referral fee cannot be transferred.
  5. (e)Payment conditions. A referral fee is paid only to an account that is open, approved and able to receive payouts (Section 5.10) at the time of payment. It is income under Section 5.8 and is reported together with your other payments.
  6. (f)Sharing your code. Share your code personally with people you know, through your own messages. Do not post it publicly, send it to people who have not requested it, pay to advertise it or offer it in exchange for a rating or review. If you recommend Cleanavo publicly, disclose that you may receive a referral fee.
  7. (g)Withholding and recovery. If a referral was obtained through a second account, a false identity, an arrangement to record cleanings that were not actually performed or any other misuse of the referral program, we may void the referral and any unpaid fee, and may recover any fee already paid.
  8. (h)Changes. We may change the amounts, the threshold or the qualifying period, or end the referral program, with notice under Section 18. A change does not apply to a referral that has already qualified.
  9. (i)Entering a code. A referral code can be entered only once, on the sign-up screen, when the account is created. It cannot be added, changed or replaced later, and the sign-up screen will not accept an invalid code.
  10. (j)Who may refer. Your code works for referring cleaners once you have completed twenty cleanings, counted as in paragraph (a), and been a verified cleaner for 30 days. Each referral fee you receive, including one for being referred yourself, and each referral of yours still in progress, uses twenty of your cleanings: you can refer again once you have completed twenty more for each of them. Only cleanings completed in the last 12 months count toward this, and the app shows how many more you need, never more than twenty. Until then the app says referrals are unavailable and the sign-up screen will not accept your code. The code works in the cleaner app only: a code entered there must belong to a cleaner who meets this paragraph, even if that person also uses Cleanavo as a host.
  11. (k)Restrictions. While your account, or the account of a person you referred, is restricted under the Community Guidelines, your code does not work and any referral in progress between you is paused: it does not qualify, expire or pay until the restriction ends, and then continues where it stood. A referral fee already owed to you is held for the same time. If your account is removed and the removal is final — upheld on appeal, or not appealed within the time the Community Guidelines allow — your share of any referral is cancelled and any unpaid fee owed to you is void; the other person's share is unaffected. If the removed account is the one you referred, that referral is cancelled.
  12. (l)Same card. A referral between two accounts that have used the same payment card does not qualify.

5.8 Income taxes

Everything you receive through the Service, including cleaning fees, tips, compensation for host cancellations and referral fees, is income to you, and you are responsible for your own taxes on all of it. We report what we are required to report, and any payment we are not required to report is still taxable income. Tips and referral fees count toward the reporting threshold in the same way as other payments, so they may bring your total above the threshold in a year in which your cleaning fees alone would not.

5.9 Sales tax and resale certificates

This Section 5.9 concerns sales tax; Section 5.8 concerns income tax. In most cases, it requires nothing from you and has no cost to you.

Texas treats residential cleaning as a taxable service. Cleanavo charges the host sales tax on the full price of every cleaning, less any referral credit the host applies to it (which is a discount on Cleanavo's own sale), and remits the tax to the state. Sales tax is not charged to you, deducted from your pay or added to your pay. A host's referral credit does not change your pay: for a credited cleaning, Cleanavo pays you your full rate.

Cleanavo engages you to perform work it has agreed to provide to the host, and resells that work to the host as part of the cleaning. For tax purposes, Cleanavo purchases your services for resale, in the same way that a general contractor purchases services from subcontractors. Your rate is the whole amount payable for the job.

If you hold a Texas sales and use tax permit, tell us and we will provide you with a resale certificate (Comptroller Form 01-339) covering the work you perform through Cleanavo, free of charge. A resale certificate is the standard document for this arrangement. It means that you do not charge Cleanavo sales tax on your payouts, and that your sales to Cleanavo are not taxable sales for you. It does not change your pay, and it does not require you to file anything. You keep the certificate, and it remains valid until we withdraw it in writing.

We cannot advise you on your own tax position, and nothing in this agreement is tax advice. Whether you need your own permit, and what you would need to file if you had one, are questions for you and your own tax adviser.

5.10 Stripe

Payouts require a Stripe Connect Express account. You accept the Stripe Connected Account Agreement directly with Stripe during onboarding, and Stripe collects the identity and bank information required to pay you. You add or remove a bank account or debit card on Stripe's own page. Cleanavo never receives your full account or card number or your identity documents; it receives only the bank's name or the card's brand and the last four digits, so the app can show you where a payout goes. Stripe's requirements are outside our control, and we cannot pay you until Stripe has enabled payouts for your account.

5.11 Payment only through the Service

Do not accept payment directly from a host for work found through Cleanavo, and do not arrange work with a Cleanavo host outside the Service. Doing so removes the payment guarantees and records that protect you, and it may result in the closure of your account.

6. Performing a job

The checklist describes the required result, not the method. Each item on the checklist states the condition a room must be in when you leave it, for example, that the counters are clean, the beds are made with fresh linens and the floors are washed. Cleanavo does not prescribe cleaning products, tools, techniques or the order in which you work. Those matters are for your professional judgment, as part of the business you operate, and no one at Cleanavo supervises them. The app lists the steps in a set order for convenience and records each step when you mark it complete. You may complete the steps in any order.

For each job you accept, you agree to:

  1. (a)Arrive on time. Punctuality is measured by the system from your check-in time.
  2. (b)Check in when you arrive and check out when you finish, in the app.
  3. (c)Photograph each room before and after, as the app prompts. The photographs document the result and are your best protection. They record the condition in which you found and left the home, and if a host raises a quality claim, they are your strongest evidence, which is why it is important to take them carefully. The photographs are not used to supervise how you work. No one at Cleanavo watches you clean, and no photograph is reviewed for method.
  4. (d)Deliver the result each checklist item describes, and mark each item complete in the app when it is done.
  5. (e)Not bring anyone into a host's home other than the cleaner assigned to the job. This is a condition of entry for the host's safety: a host consents to one identified, identity-checked person entering their home in their absence, and has not consented to anyone else. It does not restrict how you operate your business. You may employ, subcontract or work with anyone you choose on work that is not a Cleanavo job.
  6. (f)Follow the host's instructions regarding access, areas not to enter, pets and hazards.
  7. (g)Not perform work outside the checklist. Repairs, childcare, pet care, moving heavy furniture and handling biohazards are not part of any job, and you should decline if asked.

6.1 Cover: sending another cleaner

You may send another Cleanavo cleaner to perform a job you have claimed. If you cannot perform a job, open it in the app, tap the flag at the top and select Ask someone to cover. You can do this until the job's start time. You will receive a code. You choose who to send the code to and how to send it, and Cleanavo does not know who you sent it to. The cleaner who uses the code takes over the job.

Cleanavo does not choose your replacement and will not provide a list of cleaners to choose from. Only two conditions apply to the person who uses the code, both relating to the host's safety and our ability to pay, not to whom you may engage:

  1. (a)they must hold a Cleanavo cleaner account, because the host is trusting one identified, identity-checked person with their home, which is the same rule as in Section 6(e); and
  2. (b)they must be set up to receive payment, because we cannot pay an account that does not exist, and the IRS requires taxpayer information before any non-employee payment is made.

No other conditions are checked, including the replacement's rating, completion rate, record or supplies. The choice of replacement is yours.

When someone uses your code:

  1. (a)The job becomes theirs for all purposes. They are paid for it in full and directly by Cleanavo (Section 5.5), the host deals with them, and anything that happens on that job is recorded on their record, not yours.
  2. (b)Nothing is recorded against you. Arranging cover is not a breach of this agreement and does not affect your completion rate (Section 9).
  3. (c)The price does not change. The job pays the price at which it was booked.
  4. (d)Until someone uses the code, the job remains yours, and this agreement continues to apply to you as usual. You may withdraw the request at any time.

A job you accepted as cover cannot be passed on again. If you cannot perform it, release it or contact us in the usual way (Section 9).

We notify the host that the cleaner has changed and give the host a short period in which to cancel without charge. The host cannot veto your choice, and we do not ask for the host's approval.

6.2 The arrival check

When you start a job and when you finish it, the app checks whether your phone is at the property and records the result.

The arrival check does not prevent you from working. If the check indicates that you are not at the property, the app tells you and offers two options: Got it, if you tapped early and are still on your way, or I'm here anyway. If you select I'm here anyway, the app asks you to select the reason that applies (the map location for the address is wrong, your phone's location services are off, you have no signal, or another reason), and the job then starts. Every reason starts the job.

The check is not held against you. Neither the result of the check, the reason you give nor how often you give one affects your completion rate, your reliability score, your standing, your pay or the jobs you are shown. It is not, and cannot become, a breach of this agreement. The host is never told where you were. The host sees only that you checked in and when.

Sharing your location is optional. If you decline the location permission or turn it off, the check has nothing to compare and the job starts as usual, with no consequences for you.

What we read and when. We read your position twice per job (once when you tap to start and once when you tap to finish), while the app is open on your screen. We never read it between those times, while the app is closed or between jobs. Your position is compared with the property's location and not stored; Privacy Policy Section 5.8 describes this in full.

Purpose. The check gives a host who allows someone into their home in their absence confirmation that the visit took place at the property, and it allows cleaners to report addresses that are shown in the wrong place on the map. That second purpose is why the app offers a list of reasons rather than a single button.

7. Supplies

You provide your own cleaning supplies and equipment. You tell us in the app which items you have, from a defined list.

Your supplies list does not limit which jobs you can accept. Every open cleaning in your cleaning area (Section 4) is shown to you, whatever supplies you have listed. If a job's checklist requires equipment you have not listed, the app tells you so on the job listing before you claim it, and you may still claim the job. Whether you are equipped for a job is your decision, not ours.

Keeping your supplies list accurate ensures that you receive useful information; it does not affect the work you are offered. You must not accept a job you cannot properly perform, because doing so harms the host and is a breach of this agreement under Section 12.

8. Confidentiality and conduct in hosts' homes

This is the most important obligation in this agreement.

You will be given the street address of a private home and, at check-in, the code that opens its door. The occupants may not be present.

You agree to:

  1. (a)keep confidential everything you learn about a host, their home, its contents and its security, both during and after this agreement, including the address, the door code, the layout, the occupants and anything you see inside;
  2. (b)never share, record, photograph or copy a door code or entry instruction outside the app, and never keep it after the visit;
  3. (c)enter only while a job is in progress, only by the means the host has specified, and only into the areas the job covers;
  4. (d)never bring an unauthorized person into a host's home;
  5. (e)photograph only what the job requires, and not photograph people, documents, screens, valuables or anything beyond what is needed to show the condition of a room;
  6. (f)take nothing, since removing anything from a host's home without express permission is theft, will result in the immediate closure of your account and will be reported to law enforcement;
  7. (g)report any damage honestly and immediately through the app, including damage you caused, since honest reporting is treated far more favorably than concealment; and
  8. (h)not contact a host outside the Service, and not use anything you learn on a job to contact, solicit or approach a host or any member of their household afterwards.

These obligations survive the termination of this agreement and the closure of your account.

9. Performance of claimed jobs

Claiming a job is a commitment to perform it. This section applies only to jobs you have accepted, not to work you did not accept: declining is free and is never recorded against you (Section 4).

We measure and record:

  1. (a)Completion rate, which is calculated once you have completed at least five jobs.
  2. (b)Punctuality, which is measured by the system from your check-in time.
  3. (c)Recorded breaches. A breach is recorded when you release a job at or after its start time (including leaving a job in progress), fail to arrive or start a job and do not finish it. Each of these is a material breach of this agreement in respect of that job, because the host arranged their day around a service you agreed to provide and did not provide.
  4. (d)Upheld quality claims, where the reviewer records a breach because the home was not left in the condition the job described. This is a breach of the same kind, for the same reason: the agreed service was not provided. It never affects your pay for that job (Section 5.2), and it is recorded only if a person reviewing the evidence decides that it should be. An upheld claim is not automatically recorded as a breach.

Releasing a job before it starts affects your completion rate but is not a breach. We distinguish between the two so that you are encouraged to release a job early rather than not appear.

Arranging cover affects neither your completion rate nor your record (Section 6.1). If another cleaner takes over a job from you, nothing in this section is recorded against you and your completion rate is not affected, because the host still receives the cleaning they booked. Nothing that happens on that job afterwards is recorded against you, including a late start, an unfinished job or an upheld quality claim. A job is recorded against the cleaner who performs it. We do not hold you responsible for another cleaner's work, so that arranging cover is never more risky for you than working while unwell.

Repeated breaches may lead us to end this agreement under Section 12. The current threshold is three within any rolling twelve months. A breach more than twelve months old is not counted, and the record of it is deleted after twenty-four months. Any decision to end this agreement is made by a person reviewing your record, not automatically. You may request a copy of your record at info@cleanavoapp.com, and where the circumstances warrant, you may respond before a decision is made.

Breaches are counted over a twelve-month period because they are intended to show whether you are currently providing the services you agreed to provide, not to create a permanent disciplinary record. The only exception is that if we end this agreement, we keep the record on which the decision was based for four years afterwards, so that the evidence remains available if either of us later disputes the decision. Privacy Policy Section 8.2 sets out this retention period.

Notifications are a courtesy, not a condition. The app can notify you before a job starts, before a job that has not been started or finished is cancelled automatically, and when a breach is recorded (Privacy Policy Section 5.10). A notification can be late or may not arrive, so a job you claimed is still yours to start and finish on time whether or not a notification reached you, and turning notifications off has no effect on this agreement. A notification tells you what the app already shows, such as the start time and the time at which an unstarted or unfinished job is cancelled; it does not tell you how to do the work.

None of this is disciplinary, and none of it regulates how you operate your business. It records whether the services you agreed to provide were provided. None of it measures how you worked, including which products you used, the order in which you worked or how long any part of the work took. It records only whether the result described by the job was delivered. The payment check in Section 5.2 is not part of this section: it reads the time between check-in and check-out only to ask whether a visit took place at all, it is never a measure of how fast you work, and nothing about it is recorded against you.

10. Insurance and liability

Cleanavo does not provide you with any insurance. You are not covered by Cleanavo's liability insurance or by workers' compensation through Cleanavo, and you have no accident, injury or disability coverage from us.

You are responsible for obtaining your own insurance, and we strongly recommend general liability coverage appropriate to in-home cleaning work. We do not require proof of insurance and do not check whether you have it. Whether you carry insurance, how much and with which insurer are decisions for you as an independent business, and they do not affect whether you can accept work through the Service.

You are responsible for any damage you cause. If you damage a host's property, that is a matter between you and the host, and Cleanavo does not indemnify you for it.

You are responsible for your own safety. If a job feels unsafe, leave, and notify us at info@cleanavoapp.com. A job abandoned for genuine safety reasons will be reviewed on its facts, and Section 9 is applied by a person, not automatically.

11. Chat, ratings and your content

You can chat with the host of a job you have claimed from 24 hours before the visit until approximately one day after it. Hosts can rate you with stars in up to three categories, with nothing written. Other users of the Service see only your published rating (the average across your jobs, overall and by category), never an individual rating or who gave it.

You cannot rate a host, but you can report or block one. If a host's behavior breaches the Community Guidelines, press and hold their message to report it, or tap the flag at the top of the conversation or the cleaning to report the host. When you report a host you can also block them, which ends the conversation, prevents you from being matched with that host again, and hands back any of that host's cleanings you have accepted and not yet started. Those go to other cleaners and are not counted against you. We encourage you to use these tools. A report allows us to identify a pattern, and a block takes effect immediately, without our involvement.

We do not offer host ratings. You cannot see a rating for a host before you accept a job, and no other cleaner can either. Instead, you can report or block a host: a report is reviewed by a person who can act on the host's account, and a block takes effect as soon as you make it and does not expire.

Everything you write is subject to the Community Guidelines and Acceptable Use Policy.

You retain ownership of the photographs you take and the messages you write, and you grant Cleanavo a non-exclusive, worldwide, royalty-free license to host, store, display and use them for the purpose of operating the Service, including showing the host the completed work, resolving disputes and enforcing our rules.

A job's chat thread and its before and after photographs are deleted 90 days after the job ends. If you close your account before then, the text of the messages you sent is deleted immediately. The host will see that a message was sent, but not its content. Messages the host sent you were written by the host and remain until the thread expires. The only exception is a cleaning with an open report or card dispute, where deleting the messages would destroy evidence, including evidence that could support you. In that case, the messages are deleted when the matter closes and in any event within 180 days.

Google Maps. The Service includes Google Maps features and content, including Street View pictures of properties. Your use of them is subject to the current Google Maps End User Additional Terms of Service (https://maps.google.com/help/terms_maps/) and the Google Privacy Policy (https://policies.google.com/privacy).

12. Suspension and termination

You may stop working through the Service at any time, without notice or penalty. You may delete your account in the app, or by signing in at cleanavoapp.com/app in a web browser. See the Account & Data Deletion Policy. If you have a job in progress when you delete your account, it is treated as abandoned and recorded under Section 9. Anything owed to you is still sent to your balance, and your balance is paid out to you by Standard payout, free, without your needing to ask (Section 5.2).

We may suspend your account or end this agreement for breach of this agreement or the Community Guidelines, for repeated breaches recorded under Section 9, for conduct that puts a host or another person at risk, or if Stripe closes or restricts your payout account. Unless the reason is an immediate safety concern, we will tell you the reason and give you an opportunity to respond.

Sections 3, 5.2, 5.4, 8, 10, 11 (license), 13, 14, 15, 16 and 18 survive termination.

13. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CLEANAVO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT ANY WORK WILL BE AVAILABLE TO YOU, that any particular volume of work or level of earnings is achievable, or that the Service will be uninterrupted or error-free. Nothing in the Service, its marketing or any communication from us is a promise of a minimum amount of work or income.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER FINAVO LLC NOR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES OR AGENTS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR EARNINGS, WHETHER IN CONTRACT, IN TORT (INCLUDING OUR OWN NEGLIGENCE) OR UNDER ANY OTHER THEORY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD, INCLUDING CLAIMS BASED ON OUR OWN NEGLIGENCE, WILL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT PAID TO YOU THROUGH THE SERVICE IN THAT PERIOD, OR (b) $500.

These limits do not apply to gross negligence, willful misconduct or fraud; personal injury or death caused by our negligence; amounts owed to you for completed work; or any liability that cannot lawfully be limited.

If any part of this section is held unenforceable, the remainder of this section remains in effect.

14. Identity and background checks

What we check: your phone number; a person reviews your application; and your identity, with Stripe, as described below. Separately, Stripe collects and verifies the identity and taxpayer information it needs to pay you, on its own pages, and will not open a payout account for anyone it declines to onboard. We do not perform any other checks.

The identity check. You complete it with Stripe: you photograph a government identity document and take a selfie on Stripe's own pages, and Stripe compares them and tells us whether the check passed. Cleanavo never receives the document, its number, the photographs or your date of birth.

You cannot accept jobs until you have completed it, in the same way that you cannot accept jobs until you can be paid. Once your Stripe payout setup is complete, the app shows this on the home screen, with a button to start the check.

Stripe also provides us with the name on your document, and we compare it with the name on your account, which is the name a host sees before you come to their home. We do not keep the name from your document; we keep only whether it matched. A name difference never prevents you from working. Nicknames, middle names, married and former names, compound surnames and accents can all make two correct names appear different, and any unusual result is reviewed by a person rather than resulting in an automatic refusal. If you change the name on your account after verifying, the comparison is marked as out of date and reviewed again.

We do not conduct criminal background checks or reference checks, and the identity check does not change that.

We tell you this for two reasons. First, hosts receive the same information: Host Terms Section 9 states expressly that Cleanavo verifies each cleaner's identity and runs no background check, so you know exactly what hosts have been told about you. Second, you have not been screened for criminal history, and you must not represent to anyone that you have been. An identity check confirms that a real person holds a genuine identity document that matches their face. It provides no information about your criminal record, and describing yourself as "background-checked" on the basis of it would be untrue.

If we begin running background checks, we will provide the standalone written disclosure and obtain the written authorization that the Fair Credit Reporting Act requires before any check is run, and we will notify you before that happens.

15. Indemnification

THIS SECTION APPLIES ONLY TO CLAIMS BROUGHT BY THIRD PARTIES. IT DOES NOT APPLY TO CLAIMS YOU BRING AGAINST US, AND IT DOES NOT COVER OUR OWN NEGLIGENCE.

YOU AGREE TO INDEMNIFY AND HOLD HARMLESS FINAVO LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES AND AGENTS FROM THIRD-PARTY CLAIMS, DAMAGES, LOSSES, LIABILITIES AND REASONABLE LEGAL FEES TO THE EXTENT THEY ARISE OUT OF: YOUR PERFORMANCE OF CLEANING SERVICES; YOUR BREACH OF THIS AGREEMENT; YOUR VIOLATION OF ANY LAW OR OF ANY PERSON'S RIGHTS; OR DAMAGE OR LOSS YOU CAUSE AT A HOST'S PROPERTY.

THIS SECTION DOES NOT APPLY to any claim to the extent it arises from our own negligence, gross negligence or willful misconduct, and it does not apply to any claim you bring against us, including a claim that you were misclassified. Nothing in this agreement requires you to pay our costs of defending a claim you are entitled to bring. We will notify you promptly of any claim for which we seek indemnification, and you may assume its defense with counsel of your choice.

16. Dispute resolution: arbitration and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT AND TO PARTICIPATE IN A CLASS OR COLLECTIVE ACTION, INCLUDING ANY CLAIM THAT YOU WERE MISCLASSIFIED AS AN INDEPENDENT CONTRACTOR. YOU MAY OPT OUT OF THIS SECTION AS DESCRIBED IN SECTION 16.6.

16.1 Informal resolution

Before starting an arbitration, you must email info@cleanavoapp.com describing the dispute and the relief you are seeking, and allow us 30 days to try to resolve it.

16.2 Binding arbitration

Any dispute arising out of or relating to this agreement, your relationship with Cleanavo or the Service, including any dispute about your classification as an independent contractor and any claim for wages, overtime, expenses or benefits, will be resolved by binding individual arbitration administered by the American Arbitration Association (the "AAA") under its Employment/Workplace Arbitration Rules. Cleanavo will pay the arbitrator's fees and the administrative fees that those rules allocate to it. The seat of arbitration is Lubbock County, Texas, although you may participate by telephone or video.

The rules and the types of claims listed above are named according to the type of dispute, not your status. The AAA applies its Employment/Workplace Arbitration Rules to work-related claims brought by an individual who is not incorporated, and states expressly that this includes claims under independent contractor agreements. Those rules would therefore govern a dispute under this agreement regardless of the rules named here, and they require Cleanavo, rather than you, to pay the costs of the arbitration. Listing a type of claim above is not an acknowledgment that you have such a claim, and nothing in this Section 16 modifies Section 3.1. You are an independent contractor, and agreeing on where a dispute will be heard is not an agreement about your status.

16.3 Small claims court

Either party may instead bring a qualifying individual claim in small claims court.

16.4 Injunctive relief and government agencies

Either party may seek injunctive relief in court to protect intellectual property or to prevent unauthorized access to the Service. Nothing in this agreement prevents you from filing a charge with, or participating in an investigation by, a government agency.

16.5 Class and collective action waiver

YOU AND CLEANAVO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER OR COLLECTIVE ACTION MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING.

16.6 Right to opt out

You may opt out of this Section 16 by emailing info@cleanavoapp.com with the subject line "Arbitration Opt-Out", stating your name and the phone number on your account, within 30 days of first accepting this agreement. Opting out does not affect any other provision of this agreement. We will not deactivate your account, reduce the work available to you or otherwise treat you differently because you opted out, and we will not retaliate against you in any way for doing so.

16.7 Unenforceability of the class and collective action waiver

If Section 16.5 is found to be unenforceable with respect to any claim, this entire Section 16 will be void with respect to that claim, and the claim will be decided by the courts identified in Section 17. Section 16.5 is not severable from the rest of this Section 16 and may not be narrowed or modified.

16.8 Survival

This Section 16 survives the termination of this agreement.

17. Governing law and venue

This agreement is governed by the laws of the State of Texas and applicable federal law, without regard to conflict of laws principles. For any dispute not subject to arbitration, the exclusive venue is the state and federal courts located in Lubbock County, Texas.

18. General

This agreement, together with the documents listed in Section 1, is the entire agreement between you and Cleanavo. If any provision is found to be unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will remain in effect, except as provided in Section 16.7. Our failure to enforce any provision is not a waiver of it. You may not assign this agreement; we may assign it to an affiliate or in connection with a merger, acquisition or sale of assets.

We may update this agreement. For material changes, we will notify you in the app or by email before the changes take effect. If you do not accept a change, you must stop claiming jobs and close your account. A change to Section 16 does not apply to any dispute of which we were already aware.
